Terms of Service
These Terms of Service ("Terms") govern your access to and use of the LoopReply platform, including the website at loopreply.com, the dashboard application, APIs, embeddable chat widget, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Account Registration
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@loopreply.com if you suspect unauthorized access.
You must be at least 18 years old to create an account. By registering, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
2. Service Description
LoopReply is an AI-powered chatbot and agent builder platform. The Service enables you to:
- Create and configure AI-powered conversational agents ("Bots")
- Design conversation flows using a visual workflow builder
- Build and manage knowledge bases from various data sources
- Embed a chat widget on external websites
- Monitor and manage conversations through a shared inbox
- Perform human takeover of AI conversations in real time
- Collaborate with team members within workspaces
- Access analytics and reporting on bot performance
3. Subscription Plans and Billing
3.1 Plans
The Service is offered under the following subscription tiers:
- Free — $0/month. Includes 1 AI Agent, 100 active users/month, 1,000 messages/month, 1 knowledge base, and community support.
- Pro — $49/month (or $35/month billed annually). Includes 3 AI Agents, 1,000 active users/month, 10,000 messages/month, 3 knowledge bases, human takeover, custom branding, and priority email support.
- Scale — $149/month (or $107/month billed annually). Includes 10 AI Agents, 5,000 active users/month, 50,000 messages/month, 10 knowledge bases, RBAC, API access, and priority support.
- Enterprise — Custom pricing. Unlimited agents, users, messages, and knowledge bases. Includes a dedicated account manager, custom SLAs, SSO, and on-premises deployment options. Contact enterprise@loopreply.com.
3.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We use Stripe as our payment processor. By providing payment information, you authorize us to charge the applicable fees to your payment method.
3.3 Usage Limits
Each plan includes specific usage limits for active users, messages, agents, and knowledge bases. If you exceed your plan's limits, we may throttle or suspend access to certain features until the next billing cycle or until you upgrade your plan. We will notify you before taking any such action.
3.4 Plan Changes and Cancellation
You may upgrade, downgrade, or cancel your subscription at any time through the dashboard Settings page. Downgrades and cancellations take effect at the end of the current billing period. No partial refunds are issued for unused time within a billing cycle.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Send spam, unsolicited messages, or deceptive communications
- Distribute malware, viruses, or harmful code
- Attempt to gain unauthorized access to other accounts, systems, or networks
- Impersonate any person or entity
- Collect personal data from end users without proper consent and disclosure
- Use the Service in any manner that could damage, disable, or impair the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell or redistribute the Service without written authorization
We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice.
5. Your Content and Data
5.1 Ownership
You retain all rights to the content you upload, create, or transmit through the Service ("Your Content"), including knowledge base documents, bot configurations, workflow designs, and conversation data. We do not claim ownership of Your Content.
5.2 License to Us
By using the Service, you grant us a limited, worldwide, non-exclusive license to host, store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or close your account.
5.3 Data Processing
Conversations and knowledge base content may be processed by third-party AI model providers (such as OpenAI, Anthropic, Google, Meta, and Mistral) to generate responses. We do not use Your Content to train AI models. See our Privacy Policy for details on how data is handled.
6. AI-Generated Content
The Service uses artificial intelligence to generate responses in conversations. AI-generated content may occasionally be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and monitoring the outputs of your bots. We do not guarantee the accuracy, reliability, or suitability of any AI-generated content.
7. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works from the Service except as expressly permitted by these Terms. The LoopReply name, logo, and all related marks are our trademarks.
8. Third-Party Services
The Service integrates with third-party services including AI model providers, payment processors (Stripe), and various channel integrations (WhatsApp, Messenger, Slack, etc.). Your use of these integrations is subject to the respective third party's terms and policies. We are not responsible for the availability or performance of third-party services.
9. Service Availability and Support
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. Support is provided based on your subscription tier — community support for Free plans, priority email support for paid plans, and dedicated account management for Enterprise plans.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
Either party may terminate these Terms at any time. You may terminate by canceling your subscription and deleting your account. We may terminate or suspend your access if you breach these Terms or for any other reason with 30 days' written notice. Upon termination, your right to use the Service ceases, and we may delete Your Content after a 30-day grace period.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. General
These Terms constitute the entire agreement between you and LoopReply regarding the Service. If any provision is found to be unenforceable, the remaining provisions continue in effect. Our failure to enforce any right or provision does not constitute a waiver. You may not assign these Terms without our prior written consent.
